Theories on Theories: Assessing the Potential Magnitude of the May 17th Prospectus Filings, Part II, Is the Reverse Uno is Upon Us?
Edit: Of course I fucked up the title. Lol. Is the Reverse Uno Upon Us?*
Hello again, Apes.
I have gotten a solid 4 hours of sleep and am ready to keep plugging along.
Disclaimer: Nothing of which I discuss is financial advice and not indicative of what you should do with your money or investments. Make your own decisions. I have no idea what I am talking about.
Link to Part I of my little write-up, recommended that you read that first: https://www.reddit.com/Superstonk/comments/1cvo4hw/theories_on_theories_assessing_the_potential/
TL;DR for Part I: After 3+ years of working in near silence, Gamestop has dropped a reverse uno time-bomb nuke on shorts, and I don't believe we have fully comprehended just how big and effective of a nuke it will be. They finally released their plans to end the abusive short-selling once and for all... I believe the details in the filings have the answers. Need more eyes. We just need to HODL and let RC & Team work their magic. This was precisely timed and will be executed precisely. I believe they are about to throw the whole kitchen sink at em. Shorts r truly fuk. To be continued.
TL;DR for Part II: Although you should really read through this to get super jacked...Predicition: Gamestop will lay down the reverse uno... the company will protect its shareholders through a slew of new, private, non-dilutive security offerings that we get first dibs on, and that are backed by our current/future holdings. Cash/non-cash dividends from the proceeds of the sale of those securities (units) are on the table. Thus, forcing shorts to either pay or close. MOASS is inevitable.
Many Apes have stepped up to begin analyzing these filings. Thank you! The goal with my analysis is to continue to educate Apes on what all this jargon means, shine more light on the specificities of the filings and to speculate (for fun) as to what I think Gamestop is going to do based on the specificities. In the first part, I discussed Book Entry Securities issued via the DTC (the stock we all know and love), Preferred Stock (the juicy and scare new stock on the block), and the mysterious "Preferred Stock Depositary" (PSD) and its proposed role in the issuance and management of Gamestop's preferred stock to Apes worldwide, keeping it away from abusive short sellers and directly in the hands of Apes.
In my first part, I speculated that the unnamed PSD would likely be computershare. But the more I think about it, the more I am unsure of that. And maybe that is why it is unnamed as of yet. Many Apes from different parts of the world have been unable to DRS, so that means they have been unable to access/use Computershare to hold/manage their shares and the DTC shit the bed one too many times when they committed international securities fraud on the splividend. So, I am thinking its possible that Gamestop secures another entity with more accessibility worldwide, or perhaps is even in the process of creating their own depositary for their newly-issued securities (dare I say, units?), to manage their "Global Securities" (a term they use in the filings).

Tory vs. Tary

Chat GPT: In the context of stocks, both “depository” and “depositary” refer to entities that hold securities, but they serve different functions:
In summary, while both depositories and depositaries play crucial roles in the securities market, a depository is involved in the safekeeping and trading of securities, whereas a depositary issues receipts that represent shares in foreign companies, facilitating international trading for investors312.
It seems there is more to come here as to what exact role the depositary will serve. Notice the phrasing \"series of securities that differ from the terms described here\"
Tinfoil: We have seen some evidence of and speculated that Gamestop is looking more and more like they are positioning themselves to not only be dominant in retail gaming, but also serve as a holding company, potentially even serving as their own "bank". Could a brand new, currently unknown arm of Gamestop BE the unnamed depositary??? Warren Icahn anyone?
https://preview.redd.it/j1dmqz31lg1d1.jpg?width=748&format=pjpg&auto=webp&s=8d8ff6dbd7a37307413c79f9527508194a509031
If so, what role would Computershare then play? This was speculated long ago and I am thinking these filings are just a peek inside the inner workings of such an entity.

Subscriptions, Warrants, and Units

Sounds a lot like "series of securities that differ from the terms described here", doesn't it? I left off with a couple teasers and I look to close the tinfoil loop on those here.
GPT:
Stock subscriptions and warrants are both financial instruments related to the stock market, but they serve different purposes:
In summary, while both stock subscriptions and warrants give investors the right to purchase shares, stock subscriptions are typically offered to existing shareholders at a discounted price to prevent dilution of ownership, whereas warrants are long-term instruments that are often issued to sweeten the deal when other securities are being sold321.

Here's where I use a whole roll of Reynolds Heavy Duty Tin Foil:

Sooo, in Part I, I offer the notion that Gamestop isn't going to just do one or two of these proposed offerings, they are going to do them all and they're telling us how. What I am gathering so far is Apes/holders/longs will get a chance to suck up the (45M, but up to 1B) book-securities shares faster and cheaper than you can possibly imagine through the simultaneous issuance/use of Warrants and Subscription Contracts. These investment vehicles will be issued to all record holders in "Units". And there's a lot of juice to squeeze outta this IMO.
Notice here, mention of \"unit agent\" and again in the bulletpoints, they mention \"a bank or trust company\" that governs the \"units\". I'm thinking they will likely be the same entity that manages it all.
Gamestop's TL;DR on units: We can issue any number of combinations of two or more of the aforementioned securities/vehicles (Warrants Subscriptions, Common Stock, Preferred Stock) which we call "Units". They may be transferable as a single security that holds multiple securities within it. Our unit Agent (a designated trust or bank). AND, the units might not even be listed on any securities exchange. (Privately held, hard to trade, hard to access, hard to fuck with UNITS of securities?)
So, hypothetically, all shareholders of record on a given record date determined by a supplemental filing will get FIRST DIBS to purchase en masse, a lot of Gamestop stock, perhaps cheaper than ever before. The warrants give us the opportunity to buy at a pre-determined price, the subscriptions contracts give us the chance to not dilute our value in our holdings. Gamestop is literally going to nearly GIVE us a shitload more stock, privately, securely, and through a private, exclusive offering.
And here's where it gets even more juicy...I think they're gonna do it DFV style...in reverse order, relative to the order of each type of offering listed in their filing.

Protect Ya Neck, Shorts! There's gonna a rush to grab GME stock!

The Plan
See if you can follow me here...in order...
  1. BOOK ENTRY SECURITIES: Gamestop gives holders the exclusive rights and first dibs to purchase a shitload more Class A Common stock through new "Units". The units house the subscription contracts, warrants, and underlying stock. But there's only 45,000,000 more slated to be offered (so far). They give us the OPTION to purchase more later on until a certain date. The subscriptions give apes the opportunity to prevent dilution of their positions through scooping up the new stock before anyone else can. The Warrants allow us to add more at a given price (buying at a fixed price on the way up anyone?) This raises a TON of capital (potentially billions) for the company.
  2. SUBSCRIPTION RIGHTS AND UNITS: Apes jump at the opportunity to scoop up more class A shares and this allows them the opportunity to then "purchase" a greater number of fractionalized preferred stock (depositary shares) than they could have before (with only 5,000,000 whole shares available). All preferred stocks (whether whole or fractional) are backed by the chosen depositary's receipts (the official ledger, NOT managed by the corrupt DTC). AND GIVEN ALL PREFERRED STOCK IS BACKED BY THE GLOBAL SECURITIES (GME Class A Common Stock)...THIS ALLOWS INTERNATIONAL APES AND ALL APES WHO COULD NOT/CANNOT DRS TO ESSENTIALLY HAVE THEIR STOCK DIRECTLY REGISTERED THROUGH THE COMPANY ITSELF. Unfuckwithable!
  3. The preferred stocks (somehow) become part of the Units where all securities are held with the Unit agent (the depositary). Proceeds from the preferred stock sales go toward the company capital, to be used for general company purposes. What are those, you might ask?
Gamestop states that, while they could, there are currently no plans to acquire other companies or make any specific investments. Until they do have those plans, they want to invest the net proceeds from the offering in interest-bearing securites or accounts.
I'm sitting here thinking...what if, as a "thank you" to loyal shareholders, they invest it back into shareholder accounts through an immediate cash dividend? Why would you want to leave if you're getting sick divvies on all your newly acquired stock (common and/or preferred)? You just spent $ buying preferred stock, why not delight investors by giving some right back? Awh but that would be expensive for the company! Nope. It would be expensive for the SHORTS who are responsible for paying that dividend!
https://preview.redd.it/a4on4059ug1d1.jpg?width=225&format=pjpg&auto=webp&s=21617ee7dff5ddb3e2a4046e481a47dbb464bddb
GPT: When you short a stock, you’re borrowing shares from someone else (typically your brokerage firm) and selling them on the open market12. The person or entity from whom you borrowed the shares still technically owns them. If the company issues a dividend during this time, the original owner of the shares is entitled to that dividend12.
However, since their shares have been sold to a third party (by you, the short-seller), you are responsible for making the dividend payment to the original owner12. This means that if you have a short position on a stock when it goes ex-dividend (the date by which you need to own the stock to receive the dividend), you will owe the amount of the dividend to the lender of the shares12.
So, in summary, if you’re short a stock and that stock pays a dividend, you’ll be responsible for paying that dividend to the person or entity from whom you borrowed the shares12. This is an important consideration to keep in mind when deciding to short a stock, especially one that pays dividends.
So, let's say the shorts are still regarded af...and they have the $ to pay the dividend(s), cool. What if FME issues multiple or even monthly dividends? (There are currently 80 stocks that issue monthly dividends) Well, one, they can only pay for this for so long on top of the collateral and capital required to maintain their short position... Then, boom goes the dynamite. And if THAT doesn't work, gamestop could just choose to issue a non-cash dividend...which they outline below...
Wombo Combo?
Gamestop's ELI5: In the event that we issue a non-cash dividend, the PSD (depositary) will distribute the PROPERTY received by it TO the record holders of the depositary (preferred) shares entitled there to, IN PROPORTION to the number of depositiary shares owned by those holders. UNESS...the PSD determines that it somehow cannot be done...THEN the PSD may take that PROPERTY...and sell it publically or privately, and then the proceeds from that public/private sale will go directly to holder of the preferred stock.
Tinfoil? They're gonna try and issue/distribute the Wu-Tang Album or some other non-fungible property via a non-cash dividend. If that can't be done for whatever reason, they will sell the album/property at auction...all proceeds go back to preferred stock holders. No matter what, holders of the preferred stock win.
My last bit of tinfoil sounds crazy but, again, in part I, I spoke about filings saying the stock can be issued permanently, or even temporarily.
Gamestop sucks back up a ton of their class A common stock through buy backs. They may already be beginning to do that while the price is cheap, eventually leaving only a small amount of shares, or even just preferred stock available, privately held in the names holders. Non-diluted, scarcem valuable, and unable to be fucked with. GME becomes its own bank. Shareholders get the protection they deserve. MOASS happens through one of many ways...
I understand this is NOT proof that they are buying back...just speculation.
Once Gamestop has the shorts off their back finally, and the capital they want/need...they then go about what they really want to continue to GROW the company...mergers/acquisitions?
Also, some other Apes have said that its possible the Gamestop is offering the shorts a way out. And while personally do not think this is fair or likely, I think its possible and would not surprise me. But what if Apes/longs suck up all the shares at these offerings before shorts even get a chance? Then they're still fucked. Still needed our shares and they're now EVEN HARDER to get.
https://preview.redd.it/xooxvb412h1d1.jpg?width=1516&format=pjpg&auto=webp&s=d9ce6f25167ee4b65852e83e3697898217bc4d04
No matter what, I AM JACKED. I CANNOT WAIT TO SEE WHAT IT ENDS UP LOOKING LIKE.
Apes together Strong.
TL;DR: Although you should really read through this to get super jacked...Predicition: Gamestop will lay down the reverse uno... the company will protect its shareholders through a slew of new, private, non-dilutive security offerings that we get first dibs on, and that are backed by our current/future holdings. Cash/non-cash dividends from the proceeds of the sale of those securities (units) are on the table. Thus, forcing shorts to either pay or close. MOASS is inevitable.

Is It Legal To Put A Vehicle Tracker On Someone's Car In Texas - Examples

Are you wondering if it's illegal to install a GPS tracker on someone else's car in Texas? The answer isn't straightforward – it's both yes and no. Let's break it down. If you purchase a GPS device and secretly place it inside a car you don't own, that's illegal and considered a misdemeanor in Texas. But, the law in Texas has its complexities and nuances when it comes to GPS tracking. Let's explore a few scenarios to understand these legal grey areas better.
  • In Texas, a person can place a car GPS tracker inside or outside of any automobile they own.
  • Texas businesses can use car tracking devices on company-owned vehicles.
  • You can legally hide a tracking device on a car you do not own only if 1) the GPS tracker is equipped to the outside of the vehicle, and 2) the car is parked on public property when the tracking device is placed under the car.
  • It is illegal to hide a GPS tracker inside a car you do not own as it is considered private property.
  • If a car is parked on private property you cannot legally place a GPS tracker under the vehicle. You must wait until the vehicle is parked in public.
Unlawful Installation of GPS trackers is defined in Chapter 16.06 of the Texas Penal Code as follows:
Basically, it is a crime to put a hidden GPS tracker inside a car that does not belong to you. Section 16.06(a)(2) says that “motor vehicle” has the meaning assigned by Section 501.002, Transportation Code.

The Punishment For Using A GPS Tracker Illegally In Texas

Illegal use of a vehicle tracking system is a Class A Misdemeanor in the state of Texas. Class A Misdemeanors are punishable by a fine (not exceeding $4,000). If you are found guilty of illegally placing a GPS tracker on someone's car in Texas you must consult a criminal attorney. The reason is that even if you already pleaded guilty, a criminal defense attorney will work on your behalf to obtain the lowest possible sentence.
Under Texas law, a law enforcement agency that reasonably believed a person was involved in some form of criminal activity (wiretap act) is authorized to install a GPS device as long as they first obtain a warrant. The unlawful installation of a tracking system on the vehicle of a private citizen could lead to a criminal investigation or electronic communication.

Arguing Effective Consent From Owner or Lessee Of Vehicle In Texas

Effective Consent means you received explicit consent or implied consent. If that sounds a little confusing let us try to break down that legal language. Effective consent means you directly informed the vehicle owner you would place a tracker on their car. For example, if you took the vehicle to an auto mechanic and asked them to equip a GPS tracker to the car, you have given them your express consent. Keep in mind that your criminal defense attorney will have to argue this defense.
On the other hand, effective consent many times can be implied. An example of this would be if a parent "leased" a car to their teen driver, and used a tracking device for safety The minor might not have provided express consent, but because they are still a minor (under the control of their parents) the consent is assumed.

Need Legal Advice? Find The Right Lawyer In Texas

Understanding GPS tracking laws in Texas is just the first step. Your unique situation demands personalized legal guidance. Remember, every case has its nuances. That's why consulting with a legal professional is crucial. They can offer tailored advice, ensuring your actions stay within legal boundaries.
If you're seeking legal advice on GPS tracking laws in Texas, it's important to find the right lawyer. Start by searching online for attorneys specializing in privacy or criminal law in your area. Websites like the State Bar of Texas or local legal directories can be great resources. Look for lawyers with experience in cases similar to yours. Read reviews and check their credentials to ensure they're well-equipped to handle your situation.

2024.05.20 01:54 Btucks018 Neighbor Encounter

My family and I recently moved into a new home. We have a lab who we love to walk. Sometimes as a family, sometimes my wife will walk him alone as it relaxes her.
A couple of months ago she complained to me about a weird encounter with a distant neighbor (unknown at the that time). She was walking the dog when a black tinted out car passed her. Then proceeded to slow down turn around and drive back by her real slow. She thought it was weird but kept walking. A few minutes went by and he passed her again this time much slower. It freaked my wife out. To the point where she felt it necessary to run into a neighbor's yard and hide and call me. I ran out to the street and watched her walk home, no sign of black car.
Two weeks ago my wife was walking the dog and called me freaking out. The black car was back and this time his actions were more concerning. My wife was walking in front of his house unbeknownst to her at the time. The car pulled in the drive way, he got out ran in the house for a second. My wife picked up her pace and started heading home. All of sudden the black car is passing her slowly, the point where she calls me. He proceeds to turn around like last time and slowly rolls toward. She again, runs into another neighbors backyard. I tell her to wait there for me. This is about 200 yards from our house. I have our two young children with me and throw them into the car and head in her direction. As I'm approaching her location I notice a black car hidden in some bushes in another neighbors driveway. I immediately recognize the car as I pass by the owners house daily. I pull up to my wife while keeping an eye on the car. As we are talking the car pulls out slowly and pulls up to us then rolls there window down, but doesn't come to a complete stop. I roll my window down and yell hey! He immediately speeds away. Much faster than the speed limit. At this point as I mentioned earlier I have connected the dots and know where he lives. I tell my wife to jump in the car and I take her and the kids home. I get back in the car and drive to this house to confront this man. When I pull up to his house he is sitting outside his car at the end of his driveway. Which i thought was weird. I pull up and roll down my window and bluntly ask what the hell he is doing and tell him He is freaking my wife out. He says he was just trying to be safe by going slow or some bull shit. I let him I have my eyes on him and will be calling the sheriff.
Sheriff came took and a statement from both of us. Told us he was going to talk to the man. We haven't heard anything since, even tried following up with the sheriff and he didn't return our calls. Some service.
Anyway, today I was at the local park with my children and the man's wife child and motheMIL was there. I thought about bringing the situation to his wife's attention. Thinking she should know how her husband is making other women feel. I decided not to. She was having a nice time with her child and I didn't want to ruin her night. Would I have been wrong if I did say something?

2024.05.20 01:49 ProfessorSquatch (Oregon) Traded a "friend" vehicles to get something with better fuel economy. They have my car and title, and I have their vehicle, but their title doesn't match. I'm not sure what to do at this point.

Let me start by stating the fact that I know that I am an idiot for trusting this person. There's nothing you can say to beat me up worse than I am already beating up myself.
He told me everything I wanted to hear, and I completely trusted him. I thought I was trading my 2009 Nissan Murano for a freshly registered 2015 Chevy Cobalt. He stated that the Chevy was owned by a friend of his that wanted to trade it for a smaller SUV. After driving the Chevy around for a couple of hours I decided to take the deal. The Murano had some mechanical issues and he said that he was just looking out for me, trying to get me into something else before it broke down and that he wasn't making anything on the deal.
We met up at a restaurant. He said that his buddy who owned the Chevy wanted to see the title for the Murano to be sure everything was legitimate and that I could hold onto the Chevy title during the process. He hands me a stack of papers that included a vehicle title. He claimed he had a family emergency and took off before I could finish sifting through the papers. I figured he had my best interest at heart because we were friends.
Unfortunately, the title he gave me went to a Mercedes van and there was a bill of sale from what appears to be a car that he previously owned for which his wife signed.
Turns out, the Chevy was actually OLDER than the Murano and it hasn't been registered in years. So far, none of his claims are turning out to be true. Upon asking for my vehicle back he says that we had already made a deal and that the Murano is gone. He said if I call the police they won't do anything because it's a civil matter.
Now, I am stuck with a car that I can't put into my name or register because I have no idea who owns it. I have a title that
goes to some random vehicle, both of which could very well be stolen. I do have comprehensive insurance on the Murano, but just started a new policy right before this situation occurred. So, I'm not sure that if that's even a route I could potentially take. Honestly, at this point, I just want my car back or at least a bill of sale for the Chevy.
Actually, now that I've typed all of this out I can see just how insane it all sounds. I should probably just file a police report. This guy completely to advantage of me. This will be the first and last time something like this happens to me!!
Any advice would be greatly appreciated!

Is GPS Tracking Your Husband or Wife Illegal In TN?

There are some things you definitely need to know if you plan on putting a GPS on a car for the purpose of tracking it. First of all, you can never enter someone else's vehicle and equip a tracker if you are not the registered owner or lessee. If you are the registered owner of the car you can legally track it (as long as you say you are tracking the vehicle for theft recovery purposes when asked).
What if you place the tracker outside of the car while the vehicle is parked on public property? Now here is where things can get a little murky in terms of the law. Some business lawyers have been able to use this defense with success because the person using the tracker 1) did so on public property where a person does not have a right to privacy and 2) did not enter the vehicle. Putting a tracker on a vehicle without the consent of the occupant of the vehicle can be a misdemeanor offense (TN law) if you are not careful in the fashion you equip tracking systems to a vehicle.
Please note that hidden GPS trackers can't be tracked back to you if the device were discovered by the occupant of the vehicle.

Tennessee GPS Law 39-13-606 - Electronic Tracking Of Motor Vehicles

Law Enforcement: Police can install, conceal or equip an electronic tracking device inside or outside of any motor vehicle without consent for the purpose of a criminal investigation. However, they need to abide by Federal Law which states police are required to first obtain a search warrant so as to not violate a person's fourth amendment rights.
Parents: If you have a teen driver and want to make sure they are driving safely you can legally do so if you are the parent or legal guardian who leases or owns the automobile. Monitoring a minor child with a hidden vehicle tracking device installed on the vehicle is not a violation of Tennessee law.
Vehicle Theft: Placing an electronic device on a motor vehicle for tracking the location of stolen goods or if the vehicle is stolen is legal.
Unlawfully entering a vehicle that you do not own and putting a car tracker inside is a Class C misdemeanor.

2024.05.20 01:17 lockdown36 To pay or not to pay tolls?

Wanted to expand on the topic from this thread a few days ago.
There seems to be conflicting reports on if toll debt can be tied to the owner of the vehicle.
Summarize:
Don't pay tolls. There are no consequences for not paying. The debt cannot be sent to collections because the debt cannot be legally identified as owner of the vehicle's debt.
However Yooooooooooo0o shared:
This guy is very wrong about his assumptions on toll charges. By law, the registered owner of the vehicle is responsible for the toll. They dont have to prove it's "yours". They can hold you accountable if you own the car, even if you weren't driving.
(b) In the event of nonpayment of the proper toll as required by Subsection (a), on issuance of a written notice of nonpayment, the registered owner of the nonpaying vehicle is liable for the payment of both the proper toll and an administrative fee.
https://statutes.capitol.texas.gov/Docs/TN/htm/TN.370.htm
Curious on what everyone else's experience and feedback is.

Happy Monday, Barkada --

The PSE lost 10 points to 6619 ▼0.1%

Today is MB's 5th birthday!
I'm not really a big celebrations guy, so I'm not sure how to mark the occasion, except to say that I'm thankful for your continued readership and for the community of great people that has grown up around the newsletter as the days turned into weeks, turned into months, and turned into years.
Want to see something crazy? Here's MB's very first episode.
For those who have been there from the beginning, thank you for guiding MB's development through all of my weird experiments over the years. Your comments, support, and willingness to help always leave me speechless.
For those who support MB on Patreon now and in the past, your generosity in paying for something that you receive for free is humbling. Your support has helped me build scripts, host my site, and pay for help.
For those who contribute to MB directly, like Jewel, and to all of my partners, Mike Tan of Vini.com, Ely Paclibar (Your REIT Buddy), and Investagrams, thank you for working with me every morning to stitch this newsletter together. It wouldn't be the same without you.
Today is something of a long episode, but I hope you'll indulge me on MB's birthday because I really hope that you'll like the segment about the team of traders that I've sponsored to enter the Trading Cup 2024 competition, and the review of Alternergy's STAR Investor Day presentation.
Hope you like it!

  • [UPDATE] PNX, C, and INFRA suspended for failure to submit Annual Reports... The PSE issued suspensions to three companies [link] prior to the open of trade on Friday morning for failure to submit FY23 Annual Reports. The three companies suspended are Phoenix Petroleum [PNX 4.17 ▼0.2%; 0% avgVol], Chelsea Logistics [C 1.30 ▲4.0%; 0% avgVol], and Philippine Infradev [INFRA 0.53 ▲1.9%; 0% avgVol]. AgriNurture [ANI 0.62 ▲8.8%; 305% avgVol] narrowly avoided suspension by submitting its Annual Report 38 minutes before the PSE’s suspension deadline. The ANI FY23 Annual Report disclosure erroneously reports a net income improvement of 1560% to ₱146 million, instead of a ₱146 million net loss, perhaps this oversight comes from a behind-the-scenes race to submit before the deadline.
    • MB: I’m married to an accountant who did the auditing grind for years, so I know that it’s not easy to put these reports together; they’re complex and knock-ons from problems in any of the subsidiaries can cause problems that ripple up the chain and back down. That being said, producing these annual reports is something of a bare-minimum condition of public corporate life. Every management group rides its accounting department and its auditing team into the dirt to get its quarterly and annual reports out on time. I don’t have any inside knowledge into why PNX, C, and INFRA are in this position, but I listen to the silence from these management groups. Good teams communicate with their minority shareholders in times of uncertainty, and a trading suspension is a time of great uncertainty for retail investors.
  • [NEWS] **Ayala Corp sells remains of its MWC holdings to Enrique Razon for ₱14.5-B... Ayala Corp [AC 620.00 ▲1.3%; 131% avgVol] [link] disclosed that its subsidiaries, Michigan Holdings and Philwater Holdings, would sell their combined holdings in Manila Water Company [MWC 26.60 ▼1.5%; 123% avgVol] to Trident Water Company Holdings (TWC), which is owned by MWC’s current owner, Enrique Razon. The combined value of the two sales to TWC is ₱14.5 billion. The block of shares coming to TWC through Michigan Holdings was already processed and paid-for (~₱12.9 billion), and the remaining ₱1.6 billion worth of shares from Philwater Holdings will be purchased in installments over the next five years. AC confirmed that it will have no post-transaction common share interest in MWC, and that its voting stake will be “nil”.
    • MB: In a weird way, the transfer of ownership and control of MWC from the Zobel Family to the Razon Family is one of the only lasting “achievements” of the Duterte administration. I put “achievements” in quotation marks because it’s not clear how the President’s overreach into the public markets benefitted anyone other than the obvious (MWC’s current owner). As longtime readers of MB will know I have a deep respect for Mr. Razon’s business acumen and operational quality, but I don’t know that MWC customers have necessarily felt any change as a result of this transfer, and I don’t know that minority shareholders have felt any change either. So maybe it was just Mr. Razon in the right place at the right time while Duterte rode the media waves of threatening the Zobels with death and dismemberment? Yeah, it was a weird time.
  • [TC24] Introducing MB’s Trading Cup 2024 team!...Merkado Barkada** is sponsoring a team of three traders to compete in Trading Cup 2024 hosted by Investa, where hundreds of traders will be competing for up to ₱640k in total prizes based on their trading performance with ₱300k in virtual currency across the PSE, US markets, and crypto markets. This is a long competition (it runs from April 22 through July 26), so we will follow the members of Team MB throughout the contest to check in on what’s working, what’s not working, and what it’s like on the front-lines of the country’s largest trading tournament. Let’s meet the team!
    • “Hi I’m Matthew. I’m a project manager in network engineering in the telecommjnications industry and an agency leader in one of the top global brands in insurance. I have been trading since 2016. Though I like momentum trading, I found more success in position trading because it is less volatile since I can only check my open positions during my free time.” Matthew is 37 and lives in Paranaque. Trading experience: PSE (8 years), US (1 year), CRYPTO (1 year).*
    • “Hi I'm Jennelyn. I'm a Civil Engineer by profession in a government organization. I started trading back in 2020 for a year. I was reckless back then, but I've learned a lot, I'd say. I stopped trading in 2021 to focus on my career and I shifted my trading journey to learning first. Now with the Trading Cup I've found another motivation to push through. I tried day trading, and it was really frustrating and draining, so this time I'm doing swing trading through price action and volume.
    • “My name is Sef. I'm currently in college studying Management. I've been mostly self-taught but over the years I took a lot of learnings from other people. I've tried a lot of strategies but most of the time I'm a swing trader. So, I try to look for strong catalysts and take positions within times of consolidations. My implementation of it during the competition hasn't been perfect, partly due to finals week. But I trust in the process. I've been trading in the PSE for 5 years now. I only started trading the US markets and Crypto, recently. I think my current performance in the competition is reflective of my experience within the three markets. [PSE: +17.4%, CRYPTO: +4.2%, US: -11.5%]. We still have a few months to go and it's still anyone's game. A lot of the top leaderboard right now is primarily driven by 1 or 2 positions that no one saw coming, I think you can guess which stocks I'm referring to.
      • MB: Welcome to the team, Matthew, Jenny, and Sef! My goal in founding Team MB is to give readers a little insight into the thought processes behind the winning and losing trades of each team member. We have a diverse group across age, background, experience, and trading style, so I think we’ll get some interesting perspectives on the markets as the weeks go by before the July 26 finale. The team members will get to keep 100% of any prizes that they win, along with a monthly stipend from Merkado Barkada for all the coffee/snacks needed to keep focus on all three markets simultaneously. Good luck, team!
  • [NEWS] Alternergy conducts first public Q&A since IPO... Alternergy [ALTER 0.70 ▲1.4%; 159% avgVol] presented its Q1 results on Wednesday as part of the PSE’s STAR Investor Day event, and MB was there to document its first public Q&A with institutional and retail investors since its IPO over a year ago. For me, the most interesting component of any STAR presentation is the Q&A, because it’s where we get the chance to hear the management team talk outside of the the cold forensics of the financial statements to address the hope, fear, optimism, and pessisim of the average investor.
    • On enhancing shareholder value: The ALTER team said that it’s focus is on controlling what it can control, and that as a developer, it does everything that it can to complete projects “within the timeline and committed budget”, increase its pipeline, and build good relationships with stakeholders.
    • On its growth strategy: ALTER said that its “DNA is a developer”, and therefore its “preference is brownfield development” as opposed to acquisitions. (MB note: “Brownfield” means development on land that has been previously used for some other purpose. “Greenfield” would be development on untouched land.) The management team said that it is open to being “opportunistic” with acquisitions, but that its overall focus is on “looking for projects from the ground and building them toward completion.”
    • On outlook of renewables market: “The power industry is really at the point where there is a sustained pressure towards a price increase.” The ALTER team said that there’s a shortage of power supply, and what existing supply there is will come under pressure as power plants age or weather phenomena disrupt operations. ALTER said that it’s strategy is to simply grow its portfolio into this market gap, especially over the next two years.
    • On wind vs solar: The ALTER team was asked whether it was intentional to be “more exposed to wind rather than solar”, and ALTER responded by saying that while both wind and solar are scalable, they “like wind” because it generates more electricity per installed capacity. As the ALTER team put it: “For instance, if we build a 50 MW solar, you’ll only need a 25 MW wind project to match the amount of energy that we will be generating.” ALTER said that wind is also less intensive in terms of land use to generate the same amount of energy, and that its analysis shows that wind projects generate more cash flow than solar projects.
    • On starting to distribute dividends: *One question asked when ALTER would start paying dividends, and the ALTER team responded (after a laugh) that it’s “all about resource allocation”. ALTER said that at this stage, it’s a growth company, and that it would like to use its resources to build a “sizeable portfolio over the medium term” with the goal of “increasing shareholder value.” ALTER said that once it has achieved that goal, “dividend payments would not be far behind.
      • MB:Kudos to any management team that takes questions from the public. It’s not easy to be this communicative and transparent, but as a long-term investor, this kind of insight into the management team’s thinking and analysis of their own data and the market as a whole is important. If your trading style is technical, ALTER’s analysis of wind versus solar isn’t going to matter to you at all, but if your thesis is based on bets in the power generation sector, that response might trigger some research that could be helpful. Overall I’d say that the ALTER team did very well. It was clear that they were nervous, but over time I’m sure the team will become more comfortable with answering the questions and interacting with the investing community in such a person-to-person way. Well done, ALTER!

2024.05.20 01:01 AutoModerator Weekly Copyright Reminder

This is a weekly reminder post of this sub's stance on potential copyright infringement. This is a serious issue that needs to be kept in mind when creating and listing NFTs.
Original post by u/HurleyBird1
Quick disclaimer: I AM NOT A LAWYER. THIS IS NOT LEGAL ADVICE - THIS IS SIMPLY INFORMATION WITH WHICH TO EDUCATE YOURSELVES AND PREPARE YOURSELF FOR LEGAL ADVICE FROM A LICENSED SOURCE.
Now that that's out of the way. My credentials are: MBA, with a bit of business law classes under my belt.
I want to give a quick explanation of how copyright works - and I'll do so through quick blurbs n some myth/reality bullets.
Source: copyright.gov (US)
  1. Subject matter of copyright: In general28(a) Copyright protection subsists, in accordance with this title, in original works of authorship fixed in any tangible medium of expression, now known or later developed, from which they can be perceived, reproduced, or otherwise communicated, either directly or with the aid of a machine or device. Works of authorship include the following categories:(1) literary works;(2) musical works, including any accompanying words;(3) dramatic works, including any accompanying music;(4) pantomimes and choreographic works;(5) pictorial, graphic, and sculptural works;(6) motion pictures and other audiovisual works;(7) sound recordings; and(8) architectural works.(b) In no case does copyright protection for an original work of authorship extend to any idea, procedure, process, system, method of operation, concept, principle, or discovery, regardless of the form in which it is described, explained, illustrated, or embodied in such work.
- Myth: I can use any image/song/video/writing I want.
- Reality: No. Not true at all.
- Myth: Well they never said it's copyrighted.
- Reality: Upon publication (and even while a work in progress) a work is automatically protected via copyright under US Law.
- Myth: Well they never sold it.
- Reality: It doesn't have to be commercialized to be protected.
- Myth: Well it was a long time ago
- Reality: Possibly true...as long as the creator is deceased (or if multiple creators, the last living one is deceased) and the required time has passed...although this gets tricky with "estates."
(d) Duration of Rights.—(1) With respect to works of visual art created on or after the effective date set forth in section 610(a) of the Visual Artists Rights Act of 1990, the rights conferred by subsection (a) shall endure for a term consisting of the life of the author.
So what's this thing I hear called "Fair Use?"
Straight from the source:
  1. Limitations on exclusive rights: Fair use41Notwithstanding the provisions of sections 106 and 106A, the fair use of a copyrighted work, including such use by reproduction in copies or phonorecords or by any other means specified by that section, for purposes such as criticism, comment, news reporting, teaching (including multiple copies for classroom use), scholarship, or research, is not an infringement of copyright. In determining whether the use made of a work in any particular case is a fair use the factors to be considered shall include—(1) the purpose and character of the use, including whether such use is of a commercial nature or is for nonprofit educational purposes;(2) the nature of the copyrighted work;(3) the amount and substantiality of the portion used in relation to the copyrighted work as a whole; and(4) the effect of the use upon the potential market for or value of the copyrighted work. The fact that a work is unpublished shall not itself bar a finding of fair use if such finding is made upon consideration of all the above factors.
Uhh...help me translate that please... (here's a decent official translation: https://www.copyright.gov/fair-use/more-info.html)
  1. above...if it's non-profit educational use, you're usually good to go...if it's for money or trade (commercial nature) then you're usually NOT...unless YOUR piece is "transformative"
Transformative uses are those that add something new, with a further purpose or different character, and do not substitute for the original use of the work.
- Myth: Well this is paid for in Algos, not USD so it's not "commercial"
- Reality: IT IS commercial. You could even barter for bacon and it'd be commercial. It's an exchange of one good/service for another good/service.
- Myth: My piece with Batman inside a card is "transformative"
- Reality: No, unfortunately, more-than-likely the courts would say it's not. A good litmus test is..."If Warner Bros Entertainment (owner of Batman) wanted to make an NFT/ASA "Batman card" would yours compete with it or be possibly mistaken (by a reasonable person - so in America think 8th grade education) for real merchandise? Probably...thus it's not transformative enough.
"nature" gets a little tougher. This looks at protecting the "creative process." Thus, using other works of art is less-likely to be protected than using factual sources - like historical photographs since it's easier to "create art" and thus "transform" factual pieces than other art pieces. This is also talking to things like "parody." Satire is NOT protected. "Parody" is. What's the difference? LegalZoomputs it well: While a parody targets and mimics the original work to make a point, a satire uses the original work to criticize something else entirely. Another way to look at it is that satire uses another work as a way to comment on something happening in the world that has nothing to do with the original work.
- Myth: I added a different border, extra planets, and some blur effect to MTZ's World of Light - it's a new piece of art.
- Reality: Not likely the courts will see it that way.
- Myth: This guy added a filter, some burn effects, and collaged a bunch of newspaper headlines together - isn't that a violation!
- Reality: Probably not...the courts would probably see this as a creation of art out of factual sources.
amount/substantiality in relation to the whole...this is where using clips of songs that are only like 5 seconds long works! But using more than that...runs into problems. This is tough to decipher too...as some songs are EASILY identifiable from just 5 seconds (Ice, ice, baby) - and thus NOT fair use. But some aren't. Usually you're safe using a very small clip of a song or video - especially if you're adding more to it. But this is a dangerous game to play - and there's places to get free audio (some sources below)
effect of the use - this is probably the biggest one. Courts will look at simply...does YOUR work affect the sales or potential for sales of the copyright owner. Of note...this is looked at at the time of the issue being brought to the court, not at the time of sale. For example, let's say my batman card sells for 10 Algos today, but Algorand BLOWS UP and soon every NFT is on Algorand. And now my OG Batman NFT is seen as one of the first Batman ones and official. Warner Bros gonna sue the shit outta whoever owns it at the time they sue to get the rights to all sales of that NFT. So that person is left holding an empty bag when Warner Bros wins in court.
- Myth: Well they're not commercializing it NOW so I'm safe.
- Reality: Technically, yea Warner Bros probably won't spend the money to go after the OG artist and the hands the asset passed through...HOWEVER, they may. That's their right. Who knows - the Napster days showed us the lengths companies will go to. EVEN BIGGER HOWEVER, the last person holding it when Warner Bros DOES decide to go after that Batman NFT...uh oh for them - they just lost their asset.
- Myth: Well it's been like a year, and no one has brought up copyright. So I'm good.
- Reality: If this was in a normal market...maybe this argument would work. If McDonald's let you sell a Ronald McDonald poster for like a year on Amazon with no issues, some court may say "bro, you took too long to bring this to us." HOWEVER, with cryptocurrency being so new (and Algorand being so little known/discussed), most courts would see it as "reasonable" that a copyright owner failed to exercise their rights within a year - possibly even a decade. (Updated because I realized last example dealt with trademark not copyright :o)
So what am I safe to use?
US Government works (mostly)...any deemed free to use by creator...and any a copyright lawyer says they have your backs on (cuz now they're liable).
Here's some great sources for free use items (please add to this list below if you know of some!!!):
Pictures: https://buffer.com/library/free-images/ (Unsplash is one of my faves)
Music: https://www.wix.com/blog/photography/2019/11/27/free-music-for-videos/
Video: https://blog.hootsuite.com/free-stock-videos-sites/
You'll notice there's a lot of "shoulds" "coulds" "probably" etc. This is because copyright cases are all unique and go to the courts. The best bet is to go with stuff you KNOW is free and fair-use. If not, I'd look up copyright law, consult supreme court cases concerning copyright, and ultimately, talk to a lawyer.
AGAIN: I AM NOT A LAWYER. I AM NOT PROVIDING LEGAL ADVICE. I AM SIMPLY PROVIDING INFORMATION. THERE MAY BE ERRORS ABOVE THAT COULD CAUSE SUBSTANTIAL DAMAGES - CONSULT A COPYRIGHT ATTORNEY IF YOU WISH TO RECEIVE LEGAL ADVICE.

2024.05.20 00:58 KGBree Pulled the Trigger

Pulled the Trigger
I am and have been for years a loyal Toyota/Lexus driver. I’ve had my 2016 RC350 F-sport for 8 years now; bought it new, fully loaded and at a great price point because it was the outbound model year and was collecting dust at a Southern California dealer despite (I can only assume due to the odo sitting around 250 miles when I drove it off the lot) being test driven at least a dozen times. No regrets, it was a really fun drive and now has been paid off around a year.
The thing is, when I bought it I lived in San Diego county, had for years, and had no intention to relocate. The fact that it’s a RWD vehicle was not even a consideration until I relocated to the PNW and experienced my first winter driving it in the snow. It can be assumed how that went. Flash forward 5 years and although the fairly mild winters in Seattle and the short lived snow season allowed me to hold onto the RC maybe longer than I should have, my husband and I relocated last October to Nebraska and it became clear very quickly that keeping the car would mean I was essentially without a functional vehicle for large parts of the winter months.
So I’ve been passively cruising the market and wavering back and forth between trading the RC in for a GX, an AWD IS, a 4Runner or really anything else that would keep me mobile when it snowed more than 1/8”. Well, this past week I decided to get serious. I originally honed in on a 2024 TRD pro that was in transit to my local dealer but was immediately shot down by the sales guy who said yeah, it’s not even on the lot yet… but it’s sold. I’m like ok so can I order one just like it? No. We have the slime green one though! No thanks. So then he says well, the couple buying the one you’re interested in is trading in their ‘23 TRD pro. It’s black though. You interested? I was like ok sure I’ll come look. Internally I was skeptical honestly because I didn’t want a black vehicle. They can be difficult to keep looking clean and seem to not wear even minor scratches well.
BUT!!! I showed up on the lot yesterday probably within an hour of the ink drying on the previous owner’s trade deal. I unexpectedly absolutely loved it. Took it for a quick drive and it’s tons of fun. Handles way more responsively than I expected and the much MUCH roomier interior than the RC was even more of a welcome change than I thought it’d be. Although the dealer was pretty firm on the price point (which was not significantly lower than the 2024), they were able to come up a couple thousand on the trade and the handful of mods that the owners had made I felt made the net deal worth it so I went for it.
I got a surprisingly decent interest rate on the financed amount (decent for someone with my credit rating) making the payments more than manageable and less of a sting than they could have been coming fresh off the payment-free high of paying the RC off after 7 years.
I spent about 90 minutes after getting home obsessing over what my first mods will be before ultimately deciding the only thing I absolutely need right away is tint to help manage the hot summer months in a black on black vehicle. I’m going to just settle into it for a while and figure out how often I’ll actually be taking it off the pavement and what I want or need after owning it through the first winter season before I start dumping money into it.
Anyway thanks for reading I really just wanted to share how happy I am with what I drove off the lot and how excited I am to start playing around with it while the weather is good!

2024.05.20 00:46 Special-Dish4158 We bought a house 2 months ago and just found blood in it, we're not sure what to do now.

My husband and I purchased a home at the end of February in IL. Everything went according to plan and the closing was fairly simple. We had a final walkthrough scheduled for the date of close right before signing documents. During this walkthrough one of the seller's sister were informed that one of the sellers had unexpectedly passed away two weeks prior. She did not state whether this was in the home or not (we just gave our condolences and honestly were just shocked that this had happened and the sale was still going through).
Fast forward to now, we have had a few things go wrong in the house which resulted in us working on the bathroom plumbing. While in the back corner of the crawl space, my husband noticed what looked like two dried pools of blood. This was directly under the bath tub. My husband then looked to the corresponding spot upstairs inside the home and noticed that there appeared to be some dried blood in the seam of the bathtub where it met the floor. It clearly had been attempted to be cleaned up, but was still stuck in the cracks under the tub. We are now freaking ourselves out that the prior owner died a violent death in the bath tub right before we moved in, and also are unsure as to what to do with an undisclosed biohazard in our home. We're afraid to get opinions from friends and family in fear that they'll be freaked out by our home.
Does anyone have any ideas of what we can do for peace of mind? Or to at least convince us that we don't need to be freaking out?

2024.05.20 00:41 PhotonGazer Response to the Japanese who are talking crap about Korea. Here is a rant by an educated Japanese ranting about the state of Japan in 2024.

https://twitter.com/JapanTank/status/1789491214968144105

[Japan in 2024]

It's the year 2024 in Japan, and people are so outbid even for orange juice that they have resorted to desperately making "orange-tangerine mixed juice." Women are traveling abroad to prostitute themselves so much that they are being refused entry into the United States, and even to the point where they are going to South Korea, which was far poorer even just a short time ago, to work as prostitutes. What was once a major trading and exporting nation has long since rested on its laurels, and now with a trade deficit of trillions of yen and nothing to export, it is desperately bowing down to people not only from Europe and the United States, but also from Southeast Asia, India, and even countries whose names we have yet to discover in the tourism industry in order to earn foreign currency.

Even though it is a country with extremely low wages, it provides subsidies of hundreds of billions of yen to foreign companies to build factories in the country, and yet young people still go abroad to work. The top tier of universities has been completely snatched up by foreign capital, and graduates from prestigious schools such as the University of Tokyo, Kyoto University, the former imperial universities, Waseda, and Keio are pursuing empty careers in consulting and the like rather than manufacturing, with no prospect of earning foreign currency. The top echelons of the working world are fleeing to America one after another, and once they do, they never come back. In urban areas, Japanese people pay rent for apartments to the Chinese owners every month, and while the Japanese lament that they cannot afford the high prices, the Chinese buy the apartments in cash, calling them cheap. The price of imported building materials has soared and it's difficult to even buy a house, but the company president keeps saying "Don't worry, don't worry!" and people are grateful for the good value for money house, and the company makes the highest profit ever, and the sales of the small house real estate agency that calls out to people in their 30s in street sales in front of the station and has the slogan "Let's go, one trillion" have finally exceeded one trillion.

Even though the price of an iPhone in the US dollar has not increased, there is uproar in Japan saying, "It's gotten expensive again!", and almost all mobile communication means, such as smartphones and LINE, are controlled by foreign companies. By preaching some vague, mysterious fantasy and delusion called Society 5.0, they are desperately trying to hide the fact that they have not achieved Industry 4.0, let alone the Third Industrial Revolution, and since neither the government nor the private sector has any IT technology to sell anymore, they are desperately promoting something that is hard to understand, saying how amazing IOWN is, and making it look like they are doing business.

This country, which once engaged in empty discussions such as "If there is a labor shortage, we can just bring in immigrants" and "It's better not to bring in immigrants," is now being told, "People go to Korea or Taiwan because the wages are low," and "Wages are higher in urban China," and so it has no choice but to deceive Vietnamese people and create a slave system to secure a labor force. The medical infrastructure, which was once one of the best in the world, has been eaten up by the elderly, and the working generation has been exploited to the point where they have finally reached the limit of what they can pay. As a result, drug prices have been forcibly lowered, and there are now countless foreign-made drugs that Japan is unable to procure, with people saying, "We won't sell to Japan at that low a price." Young people who could be saved with new medicines are not saved, and today, old people still gather happily at the hospital to get compresses, and are given medicine that only slows down dementia by 20-30% at a cost of 3 million yen per person. Elderly people in their 80s and 90s lie in bed, simply prolonging their lives by being bedridden, and their single sons in their 60s come to visit them occasionally, hoping to get their pensions. All of this is being borne by the young working generation, who are short of money and have hit an all-time low in marriage rates and a post-war low in birth rates.

The yen, once a currency coveted by people around the world, has become known as the "yen in times of emergency" and is now being sold off at bargain prices almost every day. Now one of the emerging currencies of the Far East, it is experiencing wild fluctuations in value and is managing to hang on by selling off the foreign exchange it had accumulated during its glory days, but it is unclear for how long it will be able to hold on. The country and its people have mistakenly believed that monetary and fiscal policies would solve the problem, put off structural reform, neglected technological development, and simply put everything off. Forgetting the bloody efforts of wise men of the past and the history of the dramatic changes that came with modernization, the old men of companies and organizations that flourished during the Showa era, steeped in old vested interests, are wielding their power, crushing new technologies and ideas, only for the people in question to be dead by the time they get away with it.

These young people, like those in the bellies of boiled frogs, are carrying a time bomb, and they vaguely foresee a future in which they will no longer be able to buy beef, flour, soybeans, oil, gas, uranium, or anything else, when foreign currency runs out, leaving society in ruins. But they simply turn a blind eye to this reality, and today, they are sipping mandarin orange juice while a girl looking for a sugar daddy is asked by an older man what color her underwear is.

2024.05.20 00:29 Time-Turnip-2961 Decide to Buy: Between 2014 and 2015 Corolla?

The 2014 Corolla
The 2015 Corolla
I don't really want to drive 2 hours honestly, and chance I don't like the car in-person or they end up selling it before I get there, I'm going to try to see the 2014 one first. The 2015 has 11k more miles but is 1.5k cheaper. Hard to know if either has any problems or was well-taken of despite carfax. There is not really any difference between the two years.
What should I do?

2024.05.20 00:22 nota12yo Sundown

A flicker of light started to drain away the darkness I was so used to. The darkness where I felt most comfortable and at peace. The flicker slowly enveloped the entire pitch black room within minutes. I could do nothing but sigh in disappointment and open my eyes.
My adjusting eyes were being harassed by the tiny beam of light that made it through my curtain. Where it's at the precise angle that you swear some higher power is just messing with you.
My groggy eyes focused on the clock, it was 7:00 a. M.
Time for work.
The day was April 14th, 2014. A Monday. I knew I only had about an hour to get up, get ready for work, shower, make breakfast and make sure I get to work a few minutes early so I didn't clock in late.
I was only 28 years old and I hated my sales job. I had gone to college and got my marketing degree but I never thought I'd end up here.. selling bullshit products at incredibly hiked prices to unsuspecting or oblivious customers.
I had been doing this job for 3 years and it felt like everyday was just going to be worse. Just a buildup of hatred for your job overtime is natural I guess. Typically people find ways to cope with the constant 9-5 grind. Like going out with friends or clubbing or whatever...but I had none of those.
When my days ended I would go home and watch Netflix and drink then do it all again. I wish it was different, I wish I had the motivation to change myself. But it's difficult when you have no one to support you in your efforts. My mom died from breast cancer when I was 12. Seeing her on hospice for several months suffering from stage 4 cancer was...something you shouldn't see as a 12 year old. To see your once lovely, athletic, hilarious, loving and caring mother degrade into an 85 pound, drug-induced, horrifyingly thin creature that in no way resembled her from my memories of when she was cancer free.
I remember one morning my dad woke me up and said "come to the living room...your mother is taking her last breathes". As soon as he finished that sentence, my memories flooded back...memories of her taking care of me when I was sick, being at my soccer games cheering me on, asking how my day was when I got back from school, leaning on her shoulder as we sat in church. The memories came and went in an instant and the reality set in. My heart at first skipped a few beats but then accelerated to an unhealthy pace. My head started to spin, tears slowly started swelling up on my eyes.
I had jumped off the bed and sprinted to the living room. She was facing away from me and the first thing I noticed are how purple/ blue her feet are. I walk around the hospice nurse and look at my mother's face. She was place, her breathing was almost non-existent for almost 2 minutes but still there...until it wasn't...she was gone.
I was lost, my dad was bawling. I was crying too but at 12 years old I didn't know how hard the reality would hit as time goes on.
In my lost state, I turned on the TV show "MONK" on the laptop. It was a show my mom and I used to watch, and I figured watching it would make me feel like I'm with her again.
Time went on and I realized how losing a mother truly impacts your younger years. But time still, moved on yet.
I got in my car and left for work. The drive to the office was only about half an hour. I put my sunglasses on as I'm travelling east for almost the entire drive, something I was used to by this point. The drive to work was uneventful other than the usual jackass that cuts you off or is speeding down the road.
I made it to work and stepped out of my car. For some reason, grabbed my backpack and shut the door. For some reason the thought of my mother came across my mind. The sighed, looked down at the ground and stared at the concrete for the few seconds while only thinking of how I missed her. Then the thought vanished and I got on with my life.
The day was incredibly boring, only sold a couple of products, I dealt with people in the east coast of the U.S. and customers there are always so nasty and rude with their comments. It's impossible to build rapport with them. I'm jealous of the employees that have West coast as their territory.
The day ended with my last call but no sales for the day. Hopped in my car and drove back home.
Now I've already told you what I do when I get home. Just drink and watch Netflix. And that's exactly what I did. I can't remember the name of the show( probably because I was already tipsy) but it had to do with strange phenomenons.
I don't even remember passing out but I do remember being there in that dark room again; it was so comfortable and cozy. I sat in the corner of the room with eyes wide closed ...no people, nothing to disturb me, just... nothingness of warmth.
For hours this went on until I heard a woman's voice saying "I'm glad you're here". suddenly realizing that I had overslept my body jolted awake, completely forgetting about that eerie voice. Drinking on a Monday night is not a good idea. Blurry and in a haze trying to concentrate my focus I made out the clock saying 7:00 a.m. April 15th, 2014.
I thought how odd that was. I've been doing the same job with the same schedule for 3 years now and I know when I oversleep. Yet knowing this brought a mental smile to my mind, as my supervisor won't get on my ass for showing up late, again.
I got up lazily and stretched and got on with my morning routine. Finally got dressed and hopped in my car to leave for work. I was only about 5 minutes in when I realized something was off...why was I wearing sunglasses? The sun was behind me, not in front. I took my glasses off and read my car dashboard compass; "EAST".
I have taken this drive for 3 years now every Monday through Friday and I had always worn sunglasses for the drive to the office. I looked behind me and saw the sun rising from the west.
I was still calm, but subconsciously I could tell my panic and anxiety were building with what I was experiencing. I decided to pull over at a gas station, took my phone out and opened my GPS. 'I was still facing east.
I quietly stated "what the fuck". I looked up and asked the person next to me pumping gas " look! The sun! It's rising from the west" with an ecstatic and speedy tone. He looked at me with a smile on his face and said "yeah? Don't ya know it's always rose from the west".
The reality of this was starting to set on, anxiety building, I got back in my car and just sat there... Running my hands through my hair, pulling and stretching my face wondering what the hell was happening? My eyes were staring wide at the brake and gas pedal...trying to find some kind of logical explanation for this while still running my hands over my face and hair.
I decided to take my phone out again and click on trending news hoping to see something explaining or even acknowledging this phenomenon. Nothing. I opened Google search and looked up "sun rising in west" the first thing that popped up said Earth is rotating about its own axis from East to West".
This wasn't right.
I figured I would try to get to work and maybe one of my coworkers would have some answer. My entire body was shaking for the entire drive but I made it".
I got out of the car and the strangest thing came across my mind. A memory. A very unique memory of back when I was 12, in the back yard playing capture the flag with my neighbor that lived behind me. A time which I could go back when.
The memory came and vanished in an instant, but left the overwhelming feeling of nostalgia and sadness.
I walked into the office and started asking around about the sun. Again, none of them knew what I was talking about, but before they answered my question, they would say "oh hey, it's nice to have you here" or "we're glad to have you here" all with a smile on their faces.
Not super weird as my coworkers are typically super energetic happy people. But it did become weird when my east coast clients started answering their phones saying "hey, you're always welcome here"
I couldn't see their faces but I could tell by their tone and attitude that they were smiling. This was not normal. I rushed to the bathroom, opened a stall and sat on the toilet. I started having a panic attack. Nothing was right, the people, the sun, the specific memories... I started to run my hands over my face, stretching and contorting it, trying to calm myself down with feeling my heart bursting out of my chest. I started to whimper, I didn't want anyone outside of the stalls to hear me. None of my coworkers were right, the guy at the gas station wasn't right...nothing. years swelled up in my eyes and a brief memory of my mom came back.
It was me, coming home from school, I walked inside and could smell the pizza she was making. I see and her and asks me hey, how was your day?".
This memory helped calm me down from the wreck I was turning into. I took several deep breaths, tried my very best to compose myself, and stepped out of the stall. I ended up taking some paper towels and wiped away the tears that were caught in my eyes.
I decided that I will just try to finish this day because tomorrow everything would be back to normal...I have to reassure myself that I would be, I just knew it would be....it had to be.
I sat down back at my desk and my phone rang, picked it up and a voice came through. The voice of my mother asking " I am so glad you are here, Luke".
I was frozen, shocking, tingly sensations ran through my entire body. My demeaner instantly changed into fight or flight mode...but I chose the 3rd... freeze.
Phone still up to my ear, I heard her speak again. "Oh honey, Luke my sweet boy, don't you remember?".
I didn't reply verbally, but mentally I was thinking "remember...what the hell is...remember what?"
Then she spoke one last time, "last night, you saw the sun".
Then the memory of the night before races back into my mind. I was on my drive home from work, watching the beautiful sunset over the horizon. With all it's beautiful mixtures of orange, red, purple. I was so just staring at it...in a trance, thinking of how I wanted to go back and just be a kid again, play with my back door neighbor, come home to my mom. Why couldn't I just go back?
I suddenly hear a blaring car horn and then blackness.
I believe I died on April 15th, 2014. And I don't mind it. I like being in this black empty room just sitting in the corner..with nothing but warm emptiness to fill my cold shell. I like feeling the embraces of it's comfort over the tiring lifestyle I was living. My only dream was that I could dream forever...and now it's finally been achieved.
I miss my mother, and I know she misses me, the memories I have of her will keep me warm in this blackened wasteland forever.

2024.05.19 23:49 Helpful_Low_7822 Car Accident Utah Advice

TLDR: major car accident 15 months ago in Utah with an at-fault uninsured driver and unregistered vehicle. Got my insurance settlement but what other options?
I (30F) was involved in a car accident 15 months ago in Utah that totalled my car. I was not at-fault. it was winter and the other driver lost control, turned in front of me and I crashed head-on into the side of his truck. I got a compound open fracture of my radius in my dominant hand and was taken by ambulance to the hospital. I had multiple procedures, 2 night hospital stay, surgery, concussion, massive bruising, etc. I missed a full week of work and then 2 weeks part-time. I got a lawyer within a week, but it turns out that the driver of the car was not the owner and the car was unregistered and uninsured; however, they gave the police an insurance card with a bad policy.
Since then I have had 2 more surgeries (including one just last month), more missed work, PTSD, weeks of physical therapy/ chiropractic care, and treatment is still ongoing. I've had over a year of pain, lost function of my dominant hand, and have major scaring all over my wrist/hand. I got a full settlement from my car insurance to help pay medical bills. my personal injury lawyer said there is nothing else they can do since it is hard to actually receive a payout even if you win. I ended up having to pay a significant portion back to my health insurance as well. I have tried calling other firms and no luck so far.
I feel like this is completely unfair that I am dealing with the consequences and both the driver and owner really haven't had any. My lawyer says an uninsured owner probably doesn't have any money, but I know he has a decent job and makes probably double what I do. What legal routes do I have to go after a lawsuit for pain and suffering? Every lawyer I've talked to had said it sounds like I have a solid case, but they don't handle non-insurance suits.

2024.05.19 23:46 InformationBetter678 Car insurance price woes

I am currently researching expected costs for auto insurance, as I am hoping to buy a car in the next 6-8 months or so. I have discovered a number of issues with getting a reasonable estimate of what a policy might cost me. One, I don't have a specific make/model/year of car in mind right now. Two, I did not have a driver's license for over ten years, but have recently gotten a new license. At the time my old license lapsed I owed back excise taxes. Those were paid off, but when the RMV informed me I would have to go through the entire permitting/road test rigamarole again I decided not to bother and simply had no valid license for quite a while. This spring I felt that needed to change, so i went through the whole process and got a new license. I'm not entirely certain how a person's driving record is impacted by such a lengthy time without a valid license. I never drove illegally.
So, I have a license once more, and of course it would be very nice to try and get a car. I am trying to budget for this and work out ahead of actual purchase just how much I can likely expect to pay for everything from RMV fees to sales tax to insurance. Trying to get an actual quote has been difficult, and the rates absolutely floored me. Since I haven't owned a car in over 15 years I haven't needed auto insurance. Sites that claim to provide free quotes for multiple companies at once utterly fail to give me any quotes at all, and instead redirect me to only one or two major carrier sites (Progressive and Geico). I am trying to figure out why the few quotes I've managed to get are nearly double what internet searches state typical average rates are for full coverage? I'm over 50 years old. Paying $3,400+ per year for car insurance seems completely ludicrous. I am aware that there are multiple factors considered when buying insurance but I was never expecting to needing to anticipate having to pay well over $200 a month. Am I better off trying to go through an actual insurance agent to try and get better pricing? I'm looking at getting an older model used car that would require full coverage due to financing. I can't afford to be paying in excess of $500/month for both car payments and insurance. I live in a state where it's illegal for credit score to be used to determine coverage pricing, so that isn't a factor. From what I've read, average insurance costs for an entire year are what I'm being quoted for for a mere six months.
